1. Acceptance of Terms

Welcome to Reffi ("Reffi," "we," "our," or "us"). By accessing or using our website, mobile application, or any services offered through our platform (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years of age to create an account and use the Platform. By registering for an account, you represent and warrant that:

• You are at least 18 years old;
• All information you provide during registration and at all times thereafter is truthful, accurate, current, and complete;
• You have the legal capacity to enter into a binding agreement; and
• Your use of the Platform does not violate any applicable law or regulation.

While games listed on the Platform may involve youth sports participants, all users of the Platform — including referees and league representatives — must be adults aged 18 or older.

3. Account Registration

To access certain features of the Platform, you must create an account. When creating an account, you agree to the following:

• You may only create and maintain one account per person;
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account;
• You must promptly notify Reffi of any unauthorized use of your account or any other security breach; and
• Reffi reserves the right to suspend, disable, or terminate your account at any time, with or without notice, for any reason, including but not limited to violations of these Terms.

4. Platform Description

Reffi is an online marketplace that connects recreational and youth sports leagues and organizations ("Leagues") with independent sports officials and referees ("Referees"). The Platform facilitates the discovery, communication, hiring, and payment processes between Leagues and Referees.

Reffi is not an employer of Referees. Reffi does not employ, supervise, direct, or control Referees in any manner. Reffi serves solely as an intermediary platform that facilitates connections between Leagues and Referees. All engagements between Leagues and Referees are independent contractual relationships between those parties.

5. Referee Terms

If you use the Platform as a Referee, you acknowledge and agree that:

5.1 Independent Contractor Status

You are an independent contractor and not an employee, agent, or representative of Reffi or any League. You are solely responsible for determining how, when, and where you perform your officiating services. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and Reffi.

5.2 Tax and Insurance Obligations

As an independent contractor, you are solely responsible for all applicable federal, state, and local taxes arising from compensation received through the Platform. You are also responsible for obtaining and maintaining any insurance coverage you deem necessary, including but not limited to general liability insurance and professional liability insurance.

5.3 Game Commitments

Once you accept a game assignment through the Platform, you are expected to fulfill that commitment. Failure to appear at accepted game assignments without adequate prior notice may result in negative reviews, reduced visibility on the Platform, or account suspension or termination.

5.4 Cancellation Policy

If you must cancel an accepted game assignment, you are required to do so as early as possible through the Platform to allow the League adequate time to find a replacement. Repeated or last-minute cancellations may result in penalties, including but not limited to account restrictions or termination.

6. League Terms

If you use the Platform as a League, you acknowledge and agree that:

6.1 Accurate Game Postings

You are responsible for ensuring that all game postings are accurate, complete, and up to date, including but not limited to game date, time, location, sport type, level of play, and compensation offered.

6.2 Payment Obligations

You agree to pay the agreed-upon rate to Referees for completed game assignments. Payment is processed through the Platform's payment system as described in Section 7.

6.3 Safe Game Environment

You are responsible for providing a reasonably safe environment for all game participants, including Referees. This includes maintaining safe playing facilities and taking appropriate measures to prevent harassment, abuse, or threats directed at Referees.

7. Payments

7.1 Payment Processing

All payments on the Platform are processed through Stripe, our third-party payment processor. By using the Platform, you agree to Stripe's terms of service and privacy policy. Reffi does not store complete credit card or bank account information on its servers.

7.2 Escrow Model

When a League accepts a Referee for a game assignment, the agreed-upon game fee is charged to the League and held in escrow. Upon confirmation that the game has been completed, the funds are released to the Referee, less any applicable platform fees. This escrow model is designed to protect both parties by ensuring Referees are compensated for completed work and Leagues are only charged for services rendered.

7.3 Platform Fees

Reffi charges a platform fee on transactions processed through the Platform. Current fee structures are available on the Platform and may be updated from time to time with reasonable notice to users.

7.4 Subscription Plans

Leagues may subscribe to paid plans to access additional features. Subscription plans include Free, Starter ($39/month), Growth ($79/month), Pro ($149/month), and Enterprise tiers. All paid subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of the current billing period. No refunds are provided for partial billing periods.

7.5 Refund Policy

Refunds for game fees may be issued in the event that a game is canceled by the League before it takes place, or in cases where a Referee fails to appear for an accepted assignment. Refund requests are handled on a case-by-case basis. Reffi reserves the right to make final determinations regarding refund eligibility. Subscription fees are non-refundable except as required by applicable law.

8. Content and Conduct

8.1 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Harassing, threatening, intimidating, or abusing any other user;
• Posting false, misleading, or fraudulent information;
• Using the Platform for any unlawful purpose;
• Attempting to circumvent the Platform's payment system;
• Impersonating another person or entity;
• Interfering with or disrupting the Platform or its servers; or
• Scraping, data mining, or using automated tools to access Platform data without authorization.

8.2 Profile Accuracy

You are responsible for maintaining an accurate and up-to-date profile. This includes your qualifications, certifications, experience, availability, and any other information displayed on your profile. Misrepresentation of credentials or experience may result in immediate account termination.

8.3 Messaging

The Platform's messaging system is provided to facilitate communication related to game assignments and officiating services. You may not use the messaging system for spam, solicitation, harassment, or any purpose unrelated to the Platform's intended use.

8.4 Reviews and Ratings

Users may leave reviews and ratings for other users following completed game assignments. All reviews must be honest, fair, and based on genuine experiences. Retaliatory reviews, fraudulent ratings, and reviews containing offensive language or personal attacks are strictly prohibited and may be removed at Reffi's sole discretion.

9. Intellectual Property

9.1 Reffi's Intellectual Property

The Platform, including its design, features, functionality, content, trademarks, logos, and all related intellectual property, is owned by Reffi and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without Reffi's prior written consent.

9.2 User Content

You retain ownership of any content you submit to the Platform, including profile information, reviews, and messages ("User Content"). By submitting User Content, you grant Reffi a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting the Platform.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REFFI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Reffi does not guarantee the quality, safety, or legality of any game assignment or officiating services;
• Reffi does not guarantee the qualifications, identity, or background of any Referee or League;
• Reffi is not responsible for any injuries, damages, or losses incurred during game assignments;
• Referees are independent contractors, and Reffi has no control over their performance or conduct; and
• Reffi does not guarantee the continuous, uninterrupted, or error-free operation of the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REFFI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF REFFI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. REFFI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO REFFI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Reffi, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any game assignment or officiating services arranged through the Platform; or (e) any content you submit to the Platform.

13. Dispute Resolution

13.1 Disputes Between Users

In the event of a dispute between a Referee and a League, the parties are encouraged to resolve the matter directly through the Platform's messaging system. Reffi may, at its sole discretion, offer mediation assistance but is under no obligation to do so. Reffi is not a party to any agreement between Referees and Leagues and bears no responsibility for resolving disputes between users.

13.2 Disputes Between Users and Reffi

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Montana, and the arbitrator's decision shall be final and binding. You agree that any arbitration shall be conducted on an individual basis and not as a class action or representative proceeding. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Termination

14.1 Termination by Reffi

Reffi reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, fraudulent activity, repeated negative reviews, or conduct that Reffi deems harmful to the Platform or its users.

14.2 Termination by User

You may delete your account at any time through your account settings or by contacting us. Upon account deletion, your profile and personal information will be removed from the Platform, subject to our data retention obligations as described in our Privacy Policy. Any outstanding payment obligations must be fulfilled prior to account deletion.

14.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 9 through 13 and Section 16.

15. Modifications to Terms

Reffi reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform, updating the "Effective Date" at the top of this page, and, where practicable, sending notice to the email address associated with your account. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must discontinue your use of the Platform.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Montana.
